TKO’s 2025 annual report identifies UFC and WWE as its operating businesses. It describes TKO Operating Company, LLC—formerly Zuffa Parent, LLC—as a direct subsidiary of TKO Group Holdings.

A share in the listed parent, an economic interest in the operating company and a voting interest in TKO are different instruments. A percentage attached to one should not be relabeled as direct ownership of UFC.

How the TKO structure developed

The combination of UFC and WWE completed on September 12, 2023. A separate February 28, 2025 transaction added IMG, On Location and PBR from Endeavor. Silver Lake’s Endeavor take-private completed on March 24, 2025.

Those dates explain why articles about different years may show different control figures. The asset acquisition and the take-private also were separate events, even though they occurred close together.

What do the 51% and 61% figures mean?

At the 2023 combination, the annual report describes a 51% controlling non-economic voting interest in TKO and a 51% economic interest in TKO OpCo held by Endeavor-related subsidiaries. Those statements concern different entities and interests.

The report describes approximately 61% voting interest after the February 2025 asset transaction, and approximately 61% beneficial ownership of TKO’s total voting securities by Silver Lake affiliates at the March 2025 effective time. They are historical, event-specific figures. They are not a claim that Silver Lake directly owns 61% or 100% of UFC today.

Did the Endeavor take-private make TKO private?

The March 24, 2025 completion announcement distinguishes the two companies: Endeavor became private and its Class A shares stopped trading on the NYSE, while TKO remained publicly traded at that announcement.
